These Terms and Conditions of Use (the “Terms of Use”) set forth a legally binding agreement between you and Black Letter Films, S.R.L. (“Black Letter”, “we”, “our”, or “us”), and govern your use of any online service location that posts a link to these Terms, including our websites blackletterfilms.com, press.blackletterfilms.com, blackletter.me, blackletter.store, its subsidiaries and affiliates, and all features, content, and other services that we own, control and make available around the world (collectively, the “Site”).
The Site is the property of Black Letter Films, S.R.L. (“Black Letter”) and its licensors. By using the Site, you agree to these Terms of Use, and consent to our collection, use and disclosure practices, and other activities as described in our Privacy Policy. If you do not agree and consent, do not use the Site.
CONTENT
All text, graphics, user interfaces, visual interfaces, videos, films, photographs, trademarks, logos, sounds, music, artwork and scripts (collectively, “Content”), including but not limited to all the layout, information, databases, articles, posts, instructions, advertising copy, URLs, technology, software, interactive features, design, structure, the “look and feel” and arrangement of such Content, contained on the Site is owned, controlled or licensed by or to Black Letter, and is protected by U.S., Dominican and international copyright, trademark laws trade dress, patent and/or various other intellectual property rights, unfair competition laws and laws to the fullest extent possible.
Your use of the site
Subject to your strict compliance with these Terms of Use, Black Letter grants you a limited, non-exclusive, revocable, non-assignable, personal, and non-transferable license to download, display, view, use, and play the Content on a personal computer, browser, laptop, tablet, mobile phone, or other internet-enabled device (each, a “Device”) and/or print one copy of the Content as it is displayed to you, in each case for your personal, non-commercial use only. The foregoing limited license does not give you any ownership of, or any other intellectual property interest in, any Content, and may be suspended or terminated for any reason, in Black Letter’s sole discretion, and without advance notice or liability. Your unauthorized use of the Content may violate copyright, trademark, privacy, publicity, communications, and other laws, and any such use may result in your personal liability, including potential criminal liability.
You must not transmit any worms or viruses or any code of a destructive nature.
You may not attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site or to any Black Letter server, or to any of the services offered on or through the Site, by hacking, password “mining” or any other illegitimate means.
You may not probe, scan or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the Site, or any other customer of Black Letter, including any Black Letter account not owned by you, to its source, or exploit the Site or any service or information made available or offered by or through the Site, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Site.
You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person’s use of the Site.
You may not use the Site or any Content for any illegal, unauthorized unlawful or prohibited purpose by these Terms of Use nor may you, in the use of the Content, violate any laws in your jurisdiction (including but not limited to copyright laws), or to solicit the performance of any illegal activity or other activity which infringes the rights of Black Letter or others.
Accounts, guest checkout, passwords and security
Certain features or services offered on or through the Site may require you to register an account or checkout as a guest. When registering an account or checking out as a guest, you agree to provide true, accurate, current, and complete information. You are entirely responsible for maintaining the confidentiality of the information you hold for your account or during guest checkout, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential. You agree to notify Black Letter immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by Black Letter or any other user of or visitor to the Site due to someone else using your account or during guest checkout as a result of your failing to keep your account information secure and confidential.
You may not use anyone else’s account at any time without the express permission and consent of the holder of that account. Black Letter cannot and will not be liable for any loss or damage to you or any third party arising from your failure to comply with these obligations.
Unsolicited submissions
DO NOT SEND ANY UNSOLICITED SUBMISSIONS.
Our policy does not allow us to accept or consider unsolicited ideas, feedback, opinions, techniques, images, sounds, videos, text, messages, ideas, concepts, pitches, suggestions, stories, screenplays, treatments, formats, artwork, photographs, drawings, videos, audiovisual works, musical compositions (including lyrics), sound recordings, characterizations, software code, your and/or other persons’ names, likenesses, voices, usernames, profiles, actions, appearances, performances and/or other biographical information or material, and/or other similar materials (collectively, “Unsolicited Submissions”) so please do not distribute Unsolicited Submissions on or through any Black Letter Sites. We want to avoid the possibility of future misunderstandings when projects developed by us or under our direction might seem to others to be similar to their own creative work. We therefore ask that you not distribute any Unsolicited Submission.
In any event, you agree that any Submissions you make are not being made in confidence or trust and that no confidential or fiduciary relationship is intended or created between you and us in any way, and that you have no expectation of any review, compensation or consideration of any type.
You understand that you will not receive any fees, sums, consideration, or remuneration for any of Unsolicited Submission. Our receipt of your Submissions is not an admission of their novelty, priority, or originality, and it does not impair our right to existing or future intellectual property rights relating to your Submissions.
Accordingly, except as expressly stated in these Terms of Use, we, our licensees, distributors, agents, representatives, parent and affiliated companies and other authorized users shall be entitled to exploit and disclose all Submissions, and we shall not be liable to you or to any person claiming through you for any exploitation or disclosure of any Submission. You alone, though, retain whatever legally cognizable right, title, and interest that you have in your Unsolicited Submission and remain responsible for them.
Indemnity
You agree to indemnify and hold Black Letter, its officers, directors, investors, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees and costs), made against Black Letter by any third party due to or arising out of or in connection with your use of the Site; your breach or alleged breach of these Terms; your Unsolicited Submissions; your violation of any laws, rules, regulations, codes, statutes, ordinances or orders of any governmental or quasi-governmental authorities; your violation of the rights of any third party, including any intellectual property right, publicity, confidentiality, property or privacy right; your use of a Third Party Service; or any misrepresentation made by you. You agree to cooperate with Black Letter’s defense of any claim. You will not in any event settle any claim without the prior written consent of Black Letter.
Violation of these Terms of Use
Black Letter may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) Black Letter’s rights or property, or the rights or property of visitors to or users of the Site, including Black Letter’s customers. Black Letter reserves the right at all times to disclose any information that Black Letter deems necessary to comply with any applicable law, regulation, legal process or governmental request. Black Letter also may disclose your information when Black Letter determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.
You agree that Black Letter may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to Black Letter, for which monetary damages would be inadequate, and you consent to Black Letter obtaining any injunctive or equitable relief that Black Letter deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Black Letter may have at law or in equity.
You agree that Black Letter may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to) requests by law enforcement or other government agencies, a request by you (self-initiated account deletions), discontinuance or material modification of the Site or any service offered on or through the Site, or unexpected technical issues or problems.
You agree that Black Letter will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms of Use.
